TERMS & CONDITIONS

PLEASE READ THIS DOCUMENT CAREFULLY.

The following General Terms and Conditions of Sale, together with the documents referenced herein—including the Privacy Policy and Terms of Use—govern the offer and sale of products through the Tribut Editions website. Please read these Terms carefully before placing an order. By purchasing any product from Tribut Editions, you acknowledge and agree to be bound by these Terms and Conditions.

Unless otherwise specified, Tribut Editions furniture is intended for residential use only. Certifications for commercial use may be issued upon request for select products, subject to availability and manufacturer approval.

Tribut Editions reserves the right, at its sole discretion, to amend or update these Terms and Conditions at any time. Any changes will be posted on this page and will take effect immediately upon publication. Continued use of the website or placement of orders constitutes acceptance of any revised Terms.

1. ENTIRE AGREEMENT

By confirming an order with Tribut Editions (the “Seller”), the purchaser (the “Buyer”) agrees to be legally bound by all Terms and Conditions contained herein. These Terms govern all transactions unless modified by a written agreement signed by Seller’s authorized representative. Conflicting or additional terms proposed by Buyer shall have no effect unless expressly accepted in writing by Seller.

1.1 Orders Subject to Acceptance

All orders are subject to review and acceptance by Tribut Editions and, where applicable, by the manufacturer responsible for production. Tribut Editions reserves the right to decline or cancel any order that does not comply with its business policies, payment requirements, or production constraints.

1.2 Order Acceptance & Payment

An order is considered accepted only once Tribut Editions issues a written order confirmation via email. A binding contract is formed at that time.

Orders will not enter production or shipment until full payment has been received.

Unless otherwise specified, prices exclude shipping, delivery, duties, taxes, and other applicable charges. These costs will be clearly communicated prior to order completion and are the responsibility of the Buyer.

Payment must be made in full prior to production or shipment using approved payment methods. Failure to remit payment may result in order cancellation, forfeiture of deposits, or resale of goods to recover costs, without prejudice to other legal remedies.

2. SHIPPING AND DELIVERY (INDIVIDUAL PURCHASES)

For individual Buyers purchasing through online platforms, Seller will select a shipping agent or courier (e.g., FedEx, DHL, UPS, USPS, Canada Post etc.). Seller’s shipping obligation is fulfilled once goods are transferred to the shipping agent / courier.

Buyer may arrange their own transportation or pick up goods; in such cases, additional handling or transfer fees may apply. Buyer assumes all responsibility and freight insurance obligations upon pickup.

Ownership and risk of loss transfer to the Buyer upon carrier pickup. Freight damage claims must be reported within 72 hours of delivery.

2.1 Free Shipping Promotions

Free Shipping may be offered as part of a limited-time promotion and applies only to qualifying regions and orders. Tribut Editions reserves the right to determine the method of transport (road, sea, or air). Delivery timelines are not guaranteed, as shipments may be consolidated.

Free Shipping includes curbside delivery only. Free shipping promotions are subject to geographic and service limitations and may exclude expedited or white-glove services.

Optional services such as express shipping, white glove delivery, installation, or debris removal must be selected and paid for separately.

2.2 Storage & Failed Delivery

Additional storage fees of 4% per month may apply to goods not collected or accepted within 30 days of final invoice issuance. Any costs incurred due to failed delivery, rescheduling, or refusal of delivery caused by the Buyer will be charged accordingly.

3. DELIVERY (CONTRACTORS, BUILDERS, DEVELOPERS)

For multi-unit residential, commercial, and hospitality orders, shipments are made F.O.B. final destination. Risk of loss transfers to Buyer upon arrival at the destination and before off-loading.

4. DELIVERY LEAD TIMES

4.1 Bespoke / Made-to-Order Furniture & Lighting

Lead times are listed per product. As a guideline, production requires 8–10 weeks from order confirmation (payment + final approvals).

 4.2 Combined Orders

Orders containing items with different production lead times ship only when all items are complete, unless otherwise agreed in writing.

4.3 Transit Time

Large items typically require an additional 3–4 weeks of transit time. Transit delays outside Seller’s control may occur.

4.4 International Deliveries

Lead times for deliveries outside North America will be provided at order confirmation.

4.5 Planning Guidance

Buyers should anticipate a total delivery window of 8–14 weeks, depending on project scope and product selection.

5. DELIVERY ADDRESS

Seller will ship to the address confirmed on the invoice. Address changes after order confirmation may incur additional charges. Buyer is responsible for all added costs, storage, demurrage, or delays caused by inaccurate delivery information or Buyer-initiated rescheduling.

6. PRODUCT REPRESENTATION & VARIATIONS

6.1 Images & Materials

Product images are for illustrative purposes only. Due to the handcrafted nature of many products and inherent material variations, delivered items may differ slightly in color, texture, or appearance.

Natural variations in wood, stone, metal, and fabric—including grain, veining, tone, patina, and aging—are considered part of the material’s character and are not defects.

6.2 Dimensions & Specifications

All measurements and specifications are approximate. Drawings, descriptions, and illustrations are intended as general references only and do not form part of a binding specification.

No claims or refusals will be accepted based on minor dimensional or aesthetic variations inherent to handmade production.

7. ORDER CANCELLATION

Confirmed orders may not be cancelled or modified without Seller’s written approval. Seller will attempt to accommodate requests but is under no obligation to approve them.

8. PRICING

Pricing may be listed in USD, CAD, or EUR, depending on market region. Prices may change until payment is processed and accepted. Prices are as listed at the time of order submission and may change without prior notice. Tribut Editions is not responsible for typographical or pricing errors.

9. DUTIES & CUSTOMS FEES

International shipments may incur duties, taxes, or brokerage fees, which are the Buyer’s responsibility. Refusal to pay these fees may result in return of goods; refunds will be issued minus all shipping, storage, and related carrier fees.

10. PAYMENT CURRENCY

·         U.S. deliveries → USD

·         Canadian deliveries → CAD

·         EU & Africa deliveries → EUR

11. SALES & USE TAX

Applicable taxes are charged in addition to product prices. If Seller collects the tax, Buyer has no further remittance obligation. If not collected, Buyer must remit taxes to appropriate local governmental authorities.

12. PAYMENT TERMS

Individual purchases must be paid in full before order fulfillment begins.

13. INSPECTION, FREIGHT DAMAGE & ACCEPTANCE

Buyers are strongly encouraged to use professional receiving warehouses.

Immediately upon receiving products the Buyer shall inspect the products for potential freight damage. Any claims for freight damage visible or hidden, must be made immediately within 24 hours in order for the carrier to assume full responsibility and absorb any associated costs.   

Buyer will take photos of packaging damage immediately upon delivery and prior to delivery agent’s departure. If packaging damage is noted, Buyer shall make note of packaging damage on the Bill of Lading or Delivery Slip prior to delivery agent’s departure, and memorialize any potential freight damage to packaging with photographic images – before delivery agent’s departure from final delivery address.  These images of damaged packaging are required in addition to photos of damaged goods. 

Photos of damages goods must be included with any claims, within 72 hours of delivery. 

If Buyer does not include photo representation of both freight damage to packaging and product within 72 hours of delivery, buyer will be deemed to have accepted the goods in good condition from the carrier and will have no right to reject the goods or to revoke acceptance. 

Buyer and Seller acknowledge that damaged packaging does not always represent damaged products. 

All crated goods must be processed through a professional receiving facility. Receiving warehouses act as the Buyer’s authorized agent and are responsible for documenting damage and assisting with freight claims.

For residential deliveries, if crated goods are delivered, a qualified receiving or inspection professional must be present at delivery to open wood crates, cartons and packaging and inspect delivered goods.

Claims must be submitted to support@tributeditions.com with “DAMAGED GOODS” in the subject line and include clear photographic documentation within 72 hours.

13.1 Product Handling & Installation

Installation and handling must be performed by qualified professionals. Tribut Editions is not responsible for damage resulting from improper handling, storage, or installation.

14. PRODUCT DEFECTS

Defects to materiality and finish must be reported before installation, Buyer must discontinue use and not install the product. Any claimed damage or defect to the materiality or finish of the product after the product has been installed or used will be excluded from any manufacturer warranty. 

Functionality defects must be memorialized with photos and video, submitted to the Seller within 15 days of purchase; photos must be included with any claims.  All claims will be submitted via email to support@tributeditions.com  with the words “PRODUCT DEFECT” in the subject line.  

The Seller will examine all products returned as damaged or defective, and will notify the Buyer regarding replacement of said products via e-mail within 15 business days.  If Seller is unable to replace  the exact, same product, the Seller may substitute comparable alternatives. 

All shipping and delivery costs related to the replacement of the product will be absorbed and paid for by the Seller.

15. CANCELLATIONS, RETURNS & EXCHANGES

15.1 Return Policy

All products are made to order. Orders cannot be cancelled, returned, or exchanged unless the product is damaged or defective.

15.2 Verified Damage or Defect

If damage or defect is confirmed by Tribut Editions, delivery and return costs will be reimbursed.

15.3 Buyer Obligations

Buyers must notify Tribut Editions promptly and return products in their original condition. Failure to exercise reasonable care may result in denial of claims.

15.4  Inspection & Resolution

Returned items are subject to inspection. Refunds or replacements are issued only upon confirmation of defect or damage. Installed or altered lighting products are not eligible for return.

16. WARRANTY – UPHOLSTERED FURNITURE

·         Solid wood frame warranty: 10 years

·         Other components: 2 years (not including fabrics, textiles, down or feather filling).

If identical replacement parts are unavailable, Seller may substitute comparable alternatives.

17. WARRANTY – WOOD JOINERY & CASEGOODS

A limited 2-year warranty applies.

18. WARRANTY – LIGHTING

A limited 2-year warranty applies.

19. WARRANTY ELIGIBILITY

To qualify, Buyer must provide:

·         Proof of Warranty registration within 30 days

·         Proof of purchase and Original Purchase Receipt

·         Product codes and specifications

·         Date of manufacture

Care instructions must be followed (e.g., avoid dragging furniture, avoid corrosive products, handle with care).

20. WARRANTY REGISTRATION

21. WARRANTY EXCLUSIONS

Exclusions include:

·         Normal wear or aging

·         Prolonged light exposure

·         Fading, shrinking, and natural aging of fabrics and leathers

·         Damage from misuse, abuse, or improper care

·         Changes in natural variations like colorfastness, grain, or texture

·         Hand Knotted and Hand Tufted Rugs

·         Limited Edition Furniture, Unique Pieces, Vintage Furniture

·         Fine art, objects and accessories

·         Any product damaged after installation

·         Subtle Variations and Artisanal details. 

Each piece is handcrafted by our local and global artisan communities. Because of this human touch, no two pieces will ever be identical. We invite you to embrace these subtle variations as intentional details—unique characteristics that make your piece distinctly yours, to be cherished for years to come.

Seller disclaims all other express or implied warranties.

22. INDEMNIFICATION

Each party shall indemnify the other for damages arising from its own negligence or misconduct. Indemnification does not apply to damages caused by the indemnitee.

23. LIMITATION OF LIABILITY

Neither party shall be liable for indirect, incidental, or consequential damages, including lost profits. Total liability is capped at the amount paid by Buyer for the goods.

24. SEVERABILITY

If any provision is deemed unenforceable, it will be modified minimally to remain valid. All remaining provisions remain enforceable.

25. NON-WAIVER

Failure to enforce any term does not constitute a waiver. Waivers must be in writing.

26. DISPUTE RESOLUTION

Parties will first attempt resolution via negotiation between executives with settlement authority. If unresolved, either party may initiate legal action as outlined in Section 25.

27. GOVERNING LAW & VENUE

These Terms are governed by Quebec law. All legal proceedings shall be brought exclusively in the Judicial District of Montreal. Venue objections are waived. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
